BY ACCESSING, BROWSING, OR USING THIS WEBSITE OR ANY OF OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

    1. AGREEMENT TO TERMS AND CONDITIONS

These Terms of Service, together with our Privacy Policy, Risk Disclosure Statement, and Legal Disclaimers (collectively, the "Agreement"), govern your access to and use of the EasyCharts website, mobile applications, and all related services, content, and products (collectively, the "Services").

    1.2. By using the Services, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract; (c) you are not a person barred from receiving services under the laws of your applicable jurisdiction; (d) all information you provide is accurate, complete, and current; and (e) you will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

    1.3. We reserve the right, at our sole discretion, to modify, amend, or update these Terms at any time. Changes shall be effective immediately upon posting to the website. Your continued use of the Services following any modifications constitutes your binding acceptance of the revised Terms. You are responsible for regularly reviewing these Terms.

    2. NATURE OF SERVICES AND EDUCATIONAL PURPOSE

    2.1. EasyCharts provides educational content, market commentary, technical analysis, trading signals, chart analysis, personal coaching, and related financial information services. These Services are provided strictly for educational and informational purposes only.

    2.2. DISCLAIMER OF INVESTMENT ADVICE: EASYCHARTS IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, FINANCIAL ANALYST, FINANCIAL PLANNER, OR FIDUCIARY UNDER APPLICABLE SECURITIES LAWS. NOTHING CONTAINED IN OUR SERVICES CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY, FINANCIAL PRODUCT, OR INSTRUMENT.

    2.3. All trading signals, market analysis, chart patterns, price targets, and educational content are provided for informational purposes only and should not be relied upon as the sole basis for any trading or investment decision. You acknowledge and agree that all trading and investment decisions are made solely by you and at your own risk.

    2.4. The Services do not take into account your individual investment objectives, financial situation, risk tolerance, or specific needs. Before making any investment or trading decisions, you should consult with a qualified licensed financial advisor, attorney, or tax professional.

    3. ASSUMPTION OF RISK

    3.1. TRADING FINANCIAL INSTRUMENTS, INCLUDING BUT NOT LIMITED TO STOCKS, OPTIONS, FUTURES, FOREX, CRYPTOCURRENCIES, AND OTHER DERIVATIVES, INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. THE HIGH DEGREE OF LEVERAGE OFTEN AVAILABLE IN TRADING CAN WORK AGAINST YOU AS WELL AS FOR YOU. YOU COULD SUSTAIN A LOSS OF SOME, ALL, OR MORE THAN YOUR INITIAL INVESTMENT.

    3.2. By using our Services, you expressly acknowledge and agree that: (a) past performance is not indicative of future results; (b) no representation is being made that any account will or is likely to achieve profits or losses similar to those discussed; (c) hypothetical or simulated performance results have inherent limitations and do not represent actual trading; (d) actual results will vary based on numerous factors including market conditions, execution timing, and individual experience.

    3.3. YOU HEREBY ASSUME ALL RISKS ASSOCIATED WITH TRADING AND INVESTING, AND RELEASE, DISCHARGE, AND HOLD HARMLESS THE COMPANY FROM ANY AND ALL LIABILITY, CLAIMS, DAMAGES, OR CAUSES OF ACTION ARISING FROM OR RELATED TO YOUR TRADING OR INVESTMENT ACTIVITIES.

    4. USER ACCOUNTS AND SUBSCRIPTION

    4.1. To access certain features of the Services, you may be required to create an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; (d) immediately notify us of any unauthorized access; and (e) accept responsibility for all activities occurring under your account.

    4.2. You may not share, sell, transfer, or assign your account or subscription to any third party. Violation of this provision may result in immediate termination of your account without refund.

    4.3. We reserve the right to suspend, disable, or terminate your account at any time, with or without notice or cause, including but not limited to breach of these Terms.

    5. PAYMENT TERMS AND BILLING

    5.1. Subscription fees are charged in advance on a recurring basis (monthly or annually, as selected). By subscribing, you authorize us to charge your designated payment method for all applicable fees.

    5.2. All payments are processed through secure third-party payment processors. We do not store complete credit card information on our servers.

    5.3. REFUND POLICY: Subject to applicable law, all subscription fees are non-refundable except as expressly provided herein. We offer a seven (7) day free trial period for new Buy/Sell Signals subscribers; a valid payment method is required to start the trial. If you cancel during the trial period, you will not be charged; otherwise, the subscription fee is charged automatically when the trial ends. After the trial period, we offer a thirty (30) day money-back guarantee for first-time subscribers who are dissatisfied with the Services. Refund requests must be submitted in writing within thirty (30) days of your initial payment. Refunds are not available for renewals or after the thirty (30) day period.

    5.4. We reserve the right to modify pricing at any time. Price changes will be communicated at least thirty (30) days in advance and will apply to the next billing cycle.

    6. INTELLECTUAL PROPERTY RIGHTS

    6.1. All content, materials, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, trading signals, chart analyses, educational materials, and the compilation thereof, are the exclusive property of EasyCharts or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

    6.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. This license does not include: (a) any resale or commercial use of the Services or its contents; (b) any collection and use of any product listings, descriptions, or prices; (c) any derivative use of the Services; (d) any downloading, copying, or other use of account information for the benefit of any third party; or (e) any use of data mining, robots, or similar data gathering tools.

    6.3. Unauthorized copying, reproduction, modification, distribution, republication, downloading, displaying, posting, or transmission of any content is strictly prohibited and may result in civil and criminal penalties.

    7. PROHIBITED CONDUCT

    You agree not to:

    • Use the Services for any unlawful purpose or in violation of any applicable laws
    • Share, redistribute, resell, sublicense, or commercially exploit any content or Services
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software
    • Circumvent, disable, or interfere with any security features or access controls
    • Use any automated system, bot, or scraping tool to access the Services
    • Transmit any viruses, malware, or other harmful code
    • Impersonate any person or entity or misrepresent your affiliation
    • Harass, threaten, defame, or discriminate against any person
    • Interfere with or disrupt the Services or servers
    • Provide false or misleading information
    • Use the Services in any manner that could damage our reputation or business

    8. DISCLAIMER OF WARRANTIES

    8.1. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

    • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
    • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
    • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
    • WARRANTIES AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
    • WARRANTIES THAT DEFECTS WILL BE CORRECTED
    • WARRANTIES THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

    8.2. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES.

    9. LIMITATION OF LIABILITY

    9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASYCHARTS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:

    • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
    • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS
    • LOSS OF DATA OR INFORMATION
    • TRADING LOSSES OR INVESTMENT LOSSES OF ANY KIND
    • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
    • ANY DAMAGES WHATSOEVER EXCEEDING THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

    9.2. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

    9.3. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

    10. INDEMNIFICATION

    10.1. You agree to defend, indemnify, and hold harmless EasyCharts, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and successors and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

    • Your violation of these Terms or any applicable law, rule, or regulation
    • Your use or misuse of the Services
    • Your trading or investment activities and any losses therefrom
    • Any content you submit, post, or transmit through the Services
    • Your violation of any third party's rights, including intellectual property rights
    • Any dispute between you and any third party
    • Any false, inaccurate, or incomplete information provided by you

    10.2. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

    11. DISPUTE RESOLUTION AND ARBITRATION

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

    11.1. BINDING ARBITRATION: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including but not limited to the interpretation, breach, termination, validity, or enforceability thereof, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

    11.2. WAIVER OF JURY TRIAL: YOU AND THE COMPANY BOTH WAIVE THE RIGHT TO A TRIAL BY JURY.

    11.3. CLASS ACTION WAIVER: ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

    11.4. The arbitration shall be conducted by a single arbitrator with substantial experience in commercial disputes. The arbitration shall take place in [State of Delaware], and the language shall be English. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

    11.5. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

    12. GOVERNING LAW AND JURISDICTION

    12.1. These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

    12.2. To the extent that arbitration is not applicable or is found unenforceable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for all disputes arising out of or related to these Terms.

    12.3. You waive any objection based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens in any such action.

    13. TERMINATION

    13.1. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms.

    13.2. Upon termination: (a) your right to use the Services will immediately cease; (b) we may delete any data associated with your account; (c) all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

    13.3. You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period, and no refunds will be provided for partial periods.

    14. SEVERABILITY AND WAIVER

    14.1. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect.

    14.2. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision shall not constitute a waiver of such right or provision.

    15. ENTIRE AGREEMENT

    15.1. These Terms, together with the Privacy Policy, Risk Disclosure Statement, and Legal Disclaimers, constitute the entire agreement between you and EasyCharts regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

    15.2. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

    16. FORCE MAJEURE

    We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, shortages of transportation, power outages, telecommunications failures, or any other similar cause.
